Waivers of the provisions of this Code of Conduct that are granted to any Director or executive officer may be made only by Avaya’s Board of Directors, or by a committee designated by the Board of Directors.  Any waiver that is granted to a Director or executive officer (i) will be made only when circumstances warrant granting a waiver, and then only in conjunction with any appropriate monitoring of the particular situation and (ii) will be disclosed as required under applicable law and regulations.
